GENERAL TERMS AND CONDITIONS IIP BV

  1. General

    These terms and conditions apply to all offers, orders and deliveries by IIP BV, unless otherwise agreed in writing.

  2. Offers and orders

    Offers are valid for 30 days. Orders are only binding after written confirmation by IIP.

  3. Prices

    All prices are excluding VAT. IIP reserves the right to adjust prices in case of rising costs of raw materials, wages, energy or other production costs.

  4. Delivery and delays

    Delivery times are indicative and non-binding, unless expressly confirmed in writing by IIP. Delays do not entitle the customer to compensation or cancellation. IIP is not liable for delays caused by force majeure, supplier or carrier delays.

  5. Transport and risk

    Delivery is Ex Works (Meerbos 14, Wichelen), unless otherwise agreed in writing. Transport is at the customer's own risk.

  6. Payment

    Invoices are payable within 30 days from the invoice date. In case of late payment, statutory interest will apply, as well as a flat penalty of 10% on the outstanding amount.

  7. Complaints and returns

    Complaints must be reported in writing within 10 days after delivery; for molds, a period of 30 days applies. Returns are only permitted after written approval from IIP.

  8. Ownership of molds

    Molds developed by IIP on behalf of the customer remain the property of the customer. IIP shall maintain and store the molds as long as regular production occurs (at least one production every 24 months, unless otherwise agreed in writing).

    If no orders are placed for 24 months, IIP reserves the right to request the customer in writing to collect the mold or agree on storage fees. If the customer does not respond within 60 days, storage costs may be applied.

    If the customer decides to use an existing mold (currently or previously held by IIP) for production elsewhere, IIP's responsibility for maintenance, repairs, storage and liability automatically ceases.

    Storage is at the customer's risk; IIP accepts no liability for loss or damage due to fire, theft, force majeure or normal wear, except in cases of gross negligence or intent.

  9. Webshop orders (TheJarFactory.com & TheCornerFactory.com)

    For webshop orders, these terms apply in combination with the specific conditions stated on the respective websites. Payment takes place online upon ordering. Delivery times are indicative.

    Returns are only allowed for unopened and undamaged goods within 14 days (at the customer's expense). Webshop sales are limited to businesses within the EU. The customer confirms possessing a valid VAT number when ordering.

  10. Deliveries outside Europe

    Deliveries outside Europe are only made after prior consultation. Customs formalities, import duties and additional transport costs are entirely at the customer's expense.

  11. Force majeure

    IIP shall not be liable for delays or failure to perform due to force majeure, including strikes, pandemics, machine breakdowns, shortages of raw materials, or delays by suppliers.

  12. Liability

    IIP's liability is limited to the invoiced value of the delivered goods. IIP is not liable for indirect or consequential damages.

    All goods and molds remain property of IIP until full payment is received. IIP retains a right of retention on unpaid goods and molds.

  13. Cancellation and termination of production

    If the customer cancels an order or terminates production, all costs already incurred (raw materials, labor, machine setup, produced items, etc.) must be fully reimbursed.

  14. Storage fees for tooling

    For tooling or molds inactive for more than 24 months, storage fees may be charged (€50/month unless otherwise agreed).

    If after 12 months of storage no new production or agreement is reached, IIP reserves the right to dispose of or recycle the tooling without any compensation or liability.

  15. Insurance of tooling/molds

    The customer is responsible for insuring molds or tooling stored at IIP. IIP is only liable in cases of gross negligence or intent.

  16. Intellectual property & confidentiality

    All designs, logos, foil prints, color samples, technical sheets and prototypes remain property of IIP and may not be used or copied by third parties without prior written consent. Both parties undertake to maintain confidentiality regarding all exchanged information.

  17. Quality standards and tolerances

    Delivered products comply with standard industry norms and tolerances (according to ISO/SPPI standards). Minor deviations within these tolerances shall not be considered defects.

  18. Disputes and applicable law

    All disputes fall under the jurisdiction of the courts of Dendermonde. Belgian law exclusively applies.

  19. Return of customized products excluded

    Customized products (such as special colors or logo foil printing) cannot be returned, canceled, or modified once production has started or materials have been ordered.

  20. Storage of bulk orders and cancellation

    If IIP stores products at the customer's request under a bulk order, an obligation to collect within 6 months applies (unless otherwise agreed in writing).

    In case of non-collection, IIP reserves the right to fully invoice the remaining stock and/or charge monthly storage fees.

    If cancellation occurs after partial collection, a cancellation fee of 30% applies to the remaining value.
